Drew Broughton co-leads the firm’s Corporate Department and acts as a trusted legal and strategic adviser across a broad range of corporate and commercial matters. His practice spans mergers and acquisitions, private equity, corporate finance and securities.

Drew has extensive experience advising buyers, sellers, and investors on the full spectrum of M&A transactions, including Canadian and international takeover bids, plans of arrangement, asset and share purchases, and complex distressed and restructuring mandates. He brings a business-first mindset to every engagement, working to understand his clients’ commercial objectives and deliver practical, results-oriented counsel.

Drew also regularly acts on private equity transactions, partnering with funds and their portfolio companies to source, structure, and execute investments and exits. His securities practice includes public and private offerings of equity and debt securities, including initial public offerings, prospectus offerings, private placements, and subscription receipt financings, acting for both issuers and underwriters. His corporate governance work encompasses advising boards and management teams on compliance, disclosure, and best-practice governance matters.

Drew’s clients operate across a wide variety of industries, including energy, transportation, construction, technology, industrial services and waste management sectors. Drew is located in our Calgary office, and regularly advises clients based throughout Canada, in the United States, and internationally.
